Terms of Service

These Terms of Service (the "Terms") govern your access to and use of SnapTransfer, a web-based large-file transfer service operated by [COMPANY LEGAL NAME] ("SnapTransfer", "we", "us", or "our"). They take effect on [EFFECTIVE DATE].
1. Acceptance of terms
By creating an account, uploading a file, sending or downloading a transfer, or otherwise using SnapTransfer, you agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy and Acceptable Use Policy. If you do not agree, you must not use the service.
If you are using SnapTransfer on behalf of an organisation, you represent that you are authorised to accept these Terms on that organisation's behalf, and "you" refers to that organisation.
2. Eligibility and accounts
You must be at least the age of majority in your jurisdiction, and legally able to enter into a binding contract, to use SnapTransfer. The service is not directed to children.
Accounts are created and authenticated through our identity provider. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current, and to notify us promptly at legal@snaptransfer.app of any unauthorised use of your account.
3. Description of the service
SnapTransfer lets authenticated users upload files using chunked, resumable transfers and share them with recipients by email or by link. Recipients download files directly from our object storage provider.
Transfers are time-limited. Depending on your plan, a transfer remains available for a set retention window (currently ranging from 7 to 90 days), after which the files are automatically deleted from storage following a short grace period. Deleted transfers cannot be recovered. We may change, suspend, or discontinue features of the service at any time.
4. Your content and your responsibility for it
"Your Content" means the files, file names, messages, recipient details, and other materials you upload, send, or otherwise submit through SnapTransfer. As between you and us, you retain all ownership rights in Your Content. We do not claim ownership of it.
You are solely responsible for Your Content and for your use of the service. You represent and warrant that you own or have all rights necessary to upload, store, and share Your Content, and that doing so does not violate any law or the rights of any third party. You are responsible for keeping your own copies of anything you upload; SnapTransfer is a transfer tool, not a backup or archival service.
5. Licence you grant us
To operate the service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and display Your Content, and to scan it for malware and generate time-limited download links, solely as needed to provide, secure, and maintain SnapTransfer and to deliver your transfers to the recipients you designate.
This licence exists only for as long as we store Your Content and ends when the content is deleted from our systems, whether through transfer expiry, your deletion of a transfer, or deletion of your account. It does not grant us the right to use Your Content for any unrelated purpose.
6. Acceptable use
You may not use SnapTransfer to store or transmit unlawful, infringing, deceptive, or harmful material, to distribute malware, to send unsolicited or abusive messages, or to otherwise abuse the service or its infrastructure. A full list of prohibited conduct is set out in our Acceptable Use Policy, which is incorporated into these Terms.
If you believe content shared through SnapTransfer infringes your copyright, please follow the process in our DMCA Policy.
7. File scanning and our right to remove or flag content
Uploads are automatically scanned for malware. Files that are flagged as malicious may be blocked or deleted, and the associated transfer may be disabled. We may also remove, disable access to, or refuse to transmit any content that we reasonably believe violates these Terms, our Acceptable Use Policy, or applicable law, or that poses a risk to the service or others.
Scanning is automated and provided as a security measure for the benefit of the service; it is not a guarantee that any file is safe, and you should not rely on it as a substitute for your own security practices. Repeated or serious violations may result in suspension or termination of your account, as described in Section 14.
8. Plans, billing, renewals, cancellation, and refunds
SnapTransfer offers a Free plan (up to 3 GB per transfer), a Pro plan (up to 250 GB per transfer), and a Business plan (unlimited transfer size, subject to fair-use limits). Plan features and limits are described on our pricing page and may change over time.
Paid plans are billed in advance through our payment processor, Stripe, on a monthly or annual basis depending on the billing cycle you select. Paid plans renew automatically at the then-current rate for the same billing cycle until you cancel. You can cancel at any time through your account settings; cancellation stops future renewals and takes effect at the end of your current paid period, after which your account moves to the Free plan.
Refunds, where offered, are governed by our [refund policy]. Except as required by applicable law or expressly stated in that policy, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused capacity. We may change our prices on a prospective basis; any price change applies from your next renewal after we give you notice.
9. Intellectual property
SnapTransfer, including its software, design, branding, logos, and the content we provide (but excluding Your Content), is owned by [COMPANY LEGAL NAME] or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service in accordance with these Terms.
You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the service except as expressly permitted by these Terms or applicable law. All rights not expressly granted are reserved.
10. Third-party services
We rely on trusted third-party providers (sub-processors) to operate SnapTransfer. These currently include:
- Clerk — authentication and account management
- Stripe — payment processing
- Cloudflare R2 — file storage, and Cloudflare Turnstile — bot and abuse protection
- Resend — transactional email delivery
- VirusTotal — malware scanning of uploaded files
- Sentry — error monitoring
- Vercel — application hosting
- Supabase / PostgreSQL — database
Your use of the service may be subject to these providers' own terms, and your data is handled as described in our Privacy Policy. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control, and we may add, remove, or change sub-processors as the service evolves.
11. Disclaimers
The service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the service will be uninterrupted, secure, timely, or error-free, that any transfer or notification will be delivered, that files will be retained beyond the stated retention window, or that malware scanning will detect every threat. You use the service at your own risk and are responsible for keeping your own copies of important files.
12. Limitation of liability
To the maximum extent permitted by law, SnapTransfer and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the service will not exceed the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless [COMPANY LEGAL NAME] and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the service, your violation of these Terms, or your violation of any law or the rights of any third party.
14. Suspension and termination
You may stop using the service and delete your account at any time. Deleting your account purges your files and associated data from our systems, subject to short operational delays and any retention required by law.
We may suspend or terminate your access to the service, with or without notice, if you breach these Terms or our Acceptable Use Policy, if your use poses a risk to the service or to others, if required by law, or for repeated violations such as uploading flagged or malicious files. On termination, your right to use the service ends and we may delete Your Content. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
15. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email or through the service, and we will update the "last updated" date above. Changes take effect when posted unless stated otherwise. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of [GOVERNING-LAW JURISDICTION], without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the service will be subject to the exclusive jurisdiction of the courts located in [GOVERNING-LAW JURISDICTION], except where prohibited by applicable law.
